Terms of Service

By engaging Truets Tech Solutions Private Limited for services, or utilizing our website, you agree to comply with and be bound by the following Terms of Service. If you do not agree to these terms, please do not engage our consulting or custom development services.

1. Scope of Services Offered

Truets Tech Solutions Private Limited provides professional technology consulting, Odoo ERP implementations, custom Odoo module development (using Python and JavaScript/OWL), system integrations, database migration, and managed hosting configurations. Every individual project engagement is governed by a separate, specific Statement of Work (SOW) or Service Level Agreement (SLA) detailing the exact scope, timeline, milestones, and fees.

Any modifications or updates outside the original SOW will require written approval and may result in additional charges.

2. Intellectual Property & Code Ownership

We respect the intellectual property of our clients while maintaining standard open-source compliance:

• Custom Modules: Upon complete settlement of all project fees and invoices, ownership of custom Odoo modules designed specifically for your organization will be transferred to you.
• Open-Source Compliance: Custom modules built on Odoo Community Edition are governed by the GNU LGPLv3 license or other applicable Odoo licensing standards.
• Reusable Utilities: Truets Tech Solutions Private Limited retains all rights, titles, and interests in general Odoo utility code, pre-existing library packages, and programming tools developed or reused during projects.

3. Customer Responsibilities & Credentials

To ensure a successful implementation and timely project delivery, the client agrees to:

• Provide clear, complete, and accurate functional specifications, business workflows, and mockups.
• Authorize secure developer access keys and server credentials for staging and production testing environments.
• Designate a primary project manager to coordinate timely approvals, coordinate user acceptance testing (UAT), and review deliverables.

4. Payments, Billing, & Fees

Consulting fees, custom development milestones, and server subscription billings are invoiced in accordance with your Statement of Work. Managed hosting services are billed in advance on a monthly or annual cycle. Failure to settle outstanding hosting fees within 15 days of invoice generation may result in temporary service suspension. Reactivation fees may apply to restore suspended hosting accounts.

5. Service Level Agreements (SLA) & Hosting Liability

While we configure database backups and offer high-uptime hosting environments, we do not assume liability for data loss, service interruptions, or business disruptions arising from:

• Uncoordinated modifications to the Odoo codebase or configuration made by your staff or third-party IT agencies.
• Outages on external upstream cloud provider networks (such as AWS, GCP, or Odoo.sh).
• Failure to perform regular user acceptance testing or verify backup integrity.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Truets Tech Solutions Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our maximum aggregate liability for any claim arising out of or relating to our services shall be limited to the total fees paid by you for the specific service under dispute during the three (3) months prior to the incident.

7. Governing Law & Jurisdiction

These Terms of Service and any contractual engagements are governed by and construed in accordance with the laws of India. Any disputes arising out of these terms shall be subject to the exclusive jurisdiction of the competent courts in Ernakulam, Kerala, India.

8. Revisions and Modifications

We reserve the right to modify these Terms of Service at any time. Significant updates will be communicated directly via email or posted prominently on our website. Continued use of our consulting or hosting services after updates have been published constitutes acceptance of the updated terms.
